Privacy Notice

Introduction

The purpose of this notice is to provide you with information on our use of your personal data in accordance with the Data Protection Law, 2017 (the “DPL”) of the Cayman Islands.

In this document, “we”, “us” and “our” refers to South Carolina Solar Project, as applicable (the “Solar Investment Vehicle”) and its respective affiliates and/or delegates.

The Solar Investment Vehicle is incorporated in the Cayman Island and is subject to the DPL in respect of personal information processed by it or on its behalf.

Customer Data

The Solar Investment Vehicle is either the legal owner of, or has a lease interest in, the solar system for which you have a customer agreement. For purposes of this arrangement, South Carolina Solar Project has provided us with your personal information which may include, without limitation, the following information relating to you and/or any individuals connected with you: name, residential address, email address, contact details, corporate contact information, signature, nationality, place of birth, date of birth, tax identification, credit history, correspondence records, passport number, bank account details, source of funds details and details relating to your customer agreement with respect to the solar system.

In our use of your personal information, the Solar Investment Vehicle will be characterised as a “data controller” for the purposes of the DPL. The Solar Investment Vehicle’s affiliates and delegates may act as “data processors” for the purposes of the DPL.

Who this Affects

If you are a natural person, this will affect you directly. If you are a corporate customer (including, for these purposes, legal arrangements such as trusts or exempted limited partnerships) then this notice may be relevant to individuals connected to you for any reason in relation to the customer agreement, and you should transmit this document to such individuals or otherwise advise them of its content.

How We May Use Your Personal Data

The Solar Investment Vehicle, as the data controller, may collect, store and use your personal information for lawful purposes, including, in particular:

  • where this is necessary for the performance of our rights and obligations under the customer agreement;
  • where this is necessary for compliance with a legal and regulatory obligation to which the Solar Investment Vehicle is subject; and/or
  • where this is necessary for the purposes of our legitimate interests and such interests are not overridden by your interests, fundamental rights or freedoms.

Why We May Transfer Your Personal Data

In certain circumstances we and/or our authorised affiliates or delegates may be legally obliged to share your personal information and other information with relevant regulatory authorities.

We anticipate disclosing your information to affiliates of the Solar Investment Vehicle who provide administrative services to the Solar Investment Vehicle which may include certain entities located in countries outside of the Cayman Islands which do not have equivalent data protection laws to the DPL.

We may sell our ownership or lease interest in the solar system for which you have a customer agreement to a third party, and in that process share your information with potential buyers; such entities may be located in countries outside of the Cayman Islands, which do not have equivalent data protection laws to the DPL. 2

We may transfer your data for any other lawful purposes.

The Data Protection Measures We Take

Any transfer of your personal information by us or our duly authorised affiliates and/or delegates outside of the Cayman Islands shall be in accordance with the requirements of the DPL.

We and our duly authorised affiliates and/or delegates shall apply appropriate technical and organisational information security measures designed to protect against unauthorised or unlawful processing of your personal data, and against accidental loss or destruction of, or damage to, your personal data.

We shall notify you of any data breach that is reasonably likely to prejudice the rights or freedoms of either you or those data subjects to whom the relevant personal information relates.
